About the role

As an Independent Governance Committee Member, you will work alongside fellow committee members and the Board to strengthen the Foundation's governance framework and support best practice across the organisation.

The Committee provides advice and recommendations to the Board on matters including:

Governance frameworks and Board effectiveness Compliance with ACNC and ACFID obligations Board policies and delegations Constitution and governance reviews Board recruitment, succession planning and director induction Governance risk and continuous improvement

Committee members are appointed for their expertise and play an important role in supporting the Board's stewardship of the Foundation.

For individuals interested in a longer-term governance role, this appointment provides an opportunity to gain a deep understanding of the Foundation and, where suitable vacancies arise, may lead to consideration for appointment to the Board of Directors.

About you

You are an experienced governance professional who enjoys working collaboratively and is committed to helping purpose-driven organisations thrive.

Experience in one or more of the following would be highly regarded:

Charity or not-for-profit governance Board or committee experience Corporate governance Company secretariat Legal or regulatory compliance Risk management Governance reviews and policy development

You will also bring:

sound judgement and strategic thinking integrity and professionalism strong communication and relationship-building skills a collaborative approach a commitment to ethical leadership and continuous improvement.

Experience with the ACNC, ACFID Code of Conduct or governance within the charitable sector would be an advantage.
