Board Director / Secretary

School Can’t Australia is seeking a highly organised and governance-focused Board Secretary to join our Board of Directors. This is an exciting opportunity to contribute your expertise to a purpose-driven organisation supporting, empowering and advocating for families and with children who struggle to attend school in Australia.
As Board Secretary, you will play a critical role in ensuring the Board operates effectively, transparently and in accordance with good governance practices in addition to your contribution as a Director.
About the Role
Reporting to the Chair, you will work closely with the Board and leaders in the organisation to coordinate Board activities and maintain high standards of governance.
Key Responsibilities
- Prepare and distribute Board and committee meeting agendas and papers.
- Prepare for, attend, and conscientiously participate in Board meetings
- With the assistance of AI, accurately record minutes and actions.
- Maintain Board records, registers and governance documentation.
- Coordinate the Board calendar, meetings and annual governance cycle.
- Support compliance with the organisation's Constitution, policies and regulatory obligations.
- Manage Board correspondence and governance communications.
- Assist with Board induction and onboarding of new Directors.
- Support the Chair with governance advice and meeting administration.
- Ensure timely follow-up of Board resolutions and action items.
About You
You will bring:
- Experience as a Board Secretary, Company Secretary, Governance Officer or Executive Assistant supporting Boards.
- Strong understanding of contemporary governance principles.
- Exceptional organisational skills and attention to detail.
- Excellent written communication and minute-taking ability.
- High levels of discretion, professionalism and integrity.

Time Commitment
Approximately 10 -15 hours per month, including preparation for and attendance at Board meetings (held online), governance support between meetings and occasional committee meetings.
