Role Purpose:

The Secretary provides central administrative leadership, ensures governance compliance, and maintains the official records of CDH Australia. The Secretary acts as the primary administrative liaison for the Board, managing member registers, statutory reporting (ACNC/ASIC), board meeting administration, and general incoming communications.

Key Areas of Responsibility:

Governance & Board Facilitation: Coordinates board meeting agendas with the President, distributes board packs, records formal minutes, and tracks action items.

Statutory & Regulatory Compliance: Maintains compliance with regulatory bodies (ACNC, ASIC, ATO), ensuring annual returns and officer detail updates are lodged accurately and on time.

Records & Register Management: Manages the official Register of Members, Director Register, and organisational archives in accordance with statutory requirements.

Operational Correspondence Triage: Serves as the primary point of contact for external and internal email inbox enquiries, actioning or delegating incoming communications to appropriate Board members.

Tasks Include:

  • Checks and triages the primary organisational email account daily, actioning general enquiries and escalating strategic matters to the President or relevant Lead.
  • Prepares board agendas (in consultation with the President), compiles board papers, and records/distributes minutes for all Board meetings and the AGM.
  • Maintains and updates the Register of Members, processing new member applications for formal Board review/approval.
  • Manages ACNC and ASIC portal filings, updates officer records, and archives key governance documentation (policies, resolutions, contracts).
  • Coordinates formal notices, voting procedures, and documentation for General Meetings (AGM).
