Our Mate-Ship Limited is looking for a voluntary Board Secretary to join our Board and help us continue creating connection, purpose and community for veterans, emergency services personnel and their families.

Based on the Sunshine Coast, Our Mate-Ship is a registered charity providing opportunities for people to reconnect through boating, sailing, fishing, practical activities, shared experiences and time among good people.

Behind those experiences is a committed team, and good governance matters.

We’re looking for someone organised, dependable and comfortable keeping the important things on track. You don’t need to be the loudest person around the board table. You do

need to care about doing things properly and helping a purpose-led organisation operate well.

The role

As Board Secretary, you’ll play an important part in the smooth functioning and governance

of Our Mate-Ship.

Your responsibilities will include:

 preparing and distributing meeting agendas, board papers and relevant documents in collaboration with the Chair

 taking accurate, concise minutes and distributing them in a timely manner

 maintaining board and governance records

 helping ensure compliance with our Constitution and relevant statutory and governance requirements

 coordinating required statutory filings, including ACNC reporting and other applicable regulatory requirements

 maintaining key documents including policies, correspondence and board records

 issuing meeting notices, resolutions and other member communications as required

 supporting effective communication between the Board, management and members.

Who we’re looking for:

You may already have governance, company secretarial, administration, legal, compliance or board experience. Equally, you may have developed highly transferable skills through Defence, Emergency Services, Government, Business or another sector.

We’re particularly interested in someone with:

 excellent organisation and attention to detail

 strong written communication skills

 an understanding of governance principles and not-for-profit obligations, or the willingness and ability to develop that knowledge

 good judgement and discretion

 the ability to manage deadlines and follow things through

 a collaborative, practical approach.

Eligibility requirements:

There are two legal eligibility requirements for this position. In accordance with Queensland Office of Fair Trading requirements, the Secretary must:

 be at least 18 years of age

 live in Queensland or within 65 km of the Queensland border.

The role can otherwise be performed remotely, so you do not need to be based on the Sunshine Coast.

Veterans and emergency services personnel are strongly encouraged to apply. We know that stepping away from Defence or Emergency Services doesn’t mean leaving behind the skills, experience or capacity to contribute.

For the right person, this role could provide an opportunity to use those skills in a different environment, contribute to a community that understands service, and be part of something with genuine purpose. But you absolutely do not need to have served in Defence or Emergency Services to join us. If you understand what we’re trying to achieve and have the skills and commitment to help us do it well, we’d love to hear from you.

Time commitment:

The Board meets once a month for approximately two hours, with remote participation available.

There will also be some work required between meetings to fulfil the responsibilities of the Secretary role, including preparation of board documentation, minutes, records and governance requirements.

A few important details:

This is a voluntary, unpaid Board position.

As a member of the Board, you’ll be contributing to the governance and future direction of Our Mate-Ship and helping ensure the organisation has strong foundations behind the work

happening in the community.
